Commercial Document Attestation
Commercial documents issued outside the UAE need authentication before a company can use them for many official purposes in the UAE. These documents can include Certificates of Incorporation, Memorandum and Articles of Association (MOA/AOA), Board Resolutions, Certificates of Good Standing, shareholder documents, manager appointment documents and commercial Powers of Attorney (POA).
Businesses commonly need these documents when opening a UAE branch, registering a foreign shareholder, changing a company structure, authorising a representative, opening a corporate bank account or completing a transaction with a UAE government or licensing authority.
The country of issue and the type of company document determine the first stages. A company-issued document such as a Board Resolution or commercial Power of Attorney can require notarisation, while a document issued by a company registry can follow the authentication procedure for that registry.
The document first completes the authentication required in the country where it was issued. This can involve a Notary Public, company registrar, Chamber of Commerce or another authorised body, depending on the document.
The document then goes through the authority responsible for documents intended for use abroad.
For example, UK documents go through the Foreign, Commonwealth & Development Office (FCDO) before UAE Embassy attestation. The UAE Embassy in London confirms that UK documents must first complete FCDO legalisation.
Indian documents follow the applicable Indian authentication process before Ministry of External Affairs (MEA) and UAE Mission attestation. The UAE Embassy in New Delhi now also supports the UAE’s Digital Attestation service.
The United States does not have one identical route for every corporate document. UAE mission guidance shows that the required state or federal authentication can change according to the document. For example, the UAE Embassy in Washington currently requires business and corporate documents to complete authentication with the relevant Secretary of State before submission through VFS Global, while other legal documents can involve the U.S. Department of State.
After completing the required authentication in the country of issue, the commercial document moves to UAE Embassy or UAE Mission attestation together with UAE Ministry of Foreign Affairs (MOFA) attestation.
Under the current unified digital attestation process available through participating UAE missions, one application can cover both UAE Mission attestation and UAE MOFA attestation. This means the company does not need to submit separate applications for the embassy and MOFA.
The document must complete this mandatory UAE attestation step before it can be used for its intended corporate purpose in the UAE.
MOFA digital attestation for commercial documents charges AED 2,000 per standard commercial document. Commercial contracts can sometimes count as more than one document depending on their contents.
