Abu Dhabi Virtual Licence

Freelancer Licence

The Abu Dhabi Freelancer Licence is a Sole Proprietorship licence for approved professional activities performed by an individual.

Abu Dhabi Dual Licence

Abu Dhabi Global Market – ADGM

ADGM is Abu Dhabi’s international financial centre and covers Al Maryah Island and Al Reem Island. It operates an independent civil and commercial legal framework based on the direct application of English common law.

ADGM Special Purpose Vehicle

An ADGM SPV should not be confused with a normal operating company.

An SPV is designed as a passive holding structure for purposes such as holding shares, assets, investments or intellectual property and isolating specific assets and liabilities.

ADGM states that an SPV cannot conduct operational business or hire staff. The structure must also demonstrate an appropriate nexus to ADGM, the UAE or the GCC.

Corporate Tax for Abu Dhabi Companies

Business setup advice that says Abu Dhabi companies are generally “tax free” is outdated.

Under the standard UAE Corporate Tax rates, taxable income up to and including AED 375,000 is subject to 0%, while taxable income above AED 375,000 is generally subject to 9%.

Taxable companies also need to address UAE Corporate Tax registration and the applicable filing requirements after incorporation.

Free Zone Does Not Automatically Mean 0% Corporate Tax

A Free Zone Person must meet the conditions for Qualifying Free Zone Person status before it can receive the 0% Corporate Tax rate on Qualifying Income.

Important QFZP conditions include:

  • maintaining adequate substance in the free zone;

2026 Update: Small Business Relief Extended to 2029

On 7 August 2026, the UAE Ministry of Finance extended Small Business Relief to eligible tax periods ending on or before 31 December 2029.

The revenue threshold remains AED 3 million. Eligible Resident Persons can elect for the relief where the applicable conditions are met.

Small Business Relief is not automatic. The taxpayer must elect for it for the relevant tax period.

What Happened to UAE Economic Substance Regulations?
