A mainland setup is essential for construction companies. Construction activities happen at physical locations across the emirate, requiring a mainland license to operate anywhere in the UAE, bid on government contracts, and work with major developers.
A free zone setup is generally not suitable for active construction companies. Construction requires physical presence at project sites across the emirate. Free zone companies cannot easily bid on mainland government contracts or operate at mainland project sites. However, engineering consultancies or construction management firms that provide advisory services may consider free zone options.
A Mainland LLC (Limited Liability Company) is the standard and recommended structure. Most large developers and government entities prefer contracting with mainland LLCs for local judicial recourse through Dubai Courts. International contractors may also open a Branch of a Foreign Company to leverage their global track record.
Define your construction specialisation (building contracting, civil, MEP, fit-out, demolition, etc.). Create a detailed business plan including target market, project types, financial projections, and equipment strategy. Your specialisation determines the DET activity code and Dubai Municipality classification category.
Choose your legal structure (LLC recommended). Reserve a unique trade name through DET. Submit shareholder documents and obtain the Initial Approval Certificate. For mainland construction LLCs, the name must end in ‘LLC’ or ‘Limited Liability Company’.
This is the step that separates construction from every other business activity. It involves three sequential requirements for every engineer on your team:
a) MOE/MOHESR Equivalency Certificate: Mandatory for all engineers with foreign degrees. Submit degree for DataFlow Primary Source Verification (approximately 30 days), then apply through MOHESR for the Certificate of Recognition (15–35 working days). Without this, the engineer’s degree is not officially recognised in the UAE.
b) Society of Engineers (SOE) Card: Every engineer practising in the UAE must hold a valid SOE membership card. Requirements: bachelor’s degree attested by MOFA, MOE equivalency certificate (for foreign degrees), Emirates ID, passport, experience certificates (minimum 3 years for degree holders). Register online at soeuae.ae and present original documents in person at the SOE office. SOE membership is a prerequisite for the Municipality exam.
c) Dubai Municipality Engineering Exam: Register through the DEQ Smart portal (deqsmart.com) using UAE Pass. Computer-based test of 25 MCQs in 60 minutes. Exam fee: AED 400. Categories: G+1 (3 years experience for degree), G+4 (5 years), G+12 (7 years), G+Unlimited (10+ years). Original degree, SOE card, and experience certificates verified at test centre. Results within 30 minutes.
